Zetwerk Manufacturing Businesses Ltd and US-based Ayr Energy have reached a global settlement, bringing an end to the legal disputes between the companies, their respective affiliates, and individuals.
Under the settlement, the two companies have agreed to dismiss all claims in lawsuits pending before the Texas Business Court, as well as claims in a separate case involving Zetwerk Manufacturing Businesses and Anirudh Reddy before the XXXV Additional City Civil and Sessions Judge in Bengaluru, India. The companies have also jointly sought termination of the related investigation by the US International Trade Commission (USITC).
The settlement brings closure to a dispute that had escalated across courts in the US and India, involving allegations related to transformer technology and proprietary information.
Zetwerk and its US subsidiary Unimacts had earlier sued Ayr Energy and its co-founder Anirudh Reddy in Texas. Zetwerk had alleged that Reddy, who had worked as a senior executive at the company, had set up Ayr while still associated with Zetwerk and had misappropriated confidential information, including customer and pricing-related data, to build a competing business.
Ayr subsequently filed counterclaims against Zetwerk and also approached the USITC, alleging that Zetwerk had improperly obtained proprietary information relating to transformer technology. Ayr sought remedies that included restrictions on imports of the disputed transformers into the US.
The USITC subsequently instituted a Section 337 investigation following Ayr’s complaint. The commission’s investigation was separate from the ongoing court proceedings and had not represented a final finding on the merits of Ayr’s allegations.
The global settlement now resolves the outstanding claims between the parties. The joint request to terminate the USITC investigation is part of the agreement, bringing the dispute to a close across the multiple jurisdictions where proceedings had been initiated.
