Centrum Capital Ltd on Thursday allotted 1,16,87,704 equity shares to JBCG Advisory Services Private Ltd, a promoter group entity, following the exercise of an equivalent number of convertible warrants. The board of directors approved the allotment through a resolution passed by circulation on October 8, 2026.
The shares were issued at ₹28.52 each — comprising a face value of ₹1 and a premium of ₹27.52 — with JBCG paying the balance 75 per cent of the issue price, amounting to ₹24.99 crore (₹21.39 per warrant). The upfront 25 per cent consideration for this tranche was ₹8.33 crore.
The conversion is part of a larger preferential allotment of 7,01,26,225 convertible warrants originally allotted to JBCG on August 1, 2025. An earlier tranche of 2,72,50,000 warrants was converted on March 27, 2026. With the current exercise, 3,11,88,521 warrants remain outstanding.
Following the allotment, the promoter group’s shareholding has risen from 39.44 per cent to 40.86 per cent, and the company’s paid-up equity share capital now stands at ₹49,85,16,898, comprising 49,85,16,898 shares of ₹1 each.
On the NSE, Centrum Capital shares closed at ₹19.44 on Thursday, down 4.47 per cent from the previous close of ₹20.35. The stock has fallen roughly 42 per cent over the past year.
