Electronic manufacturing services major Dixon Technologies India Ltd has entered into a joint venture agreement with Gemtek Technology Co to manufacture optical transceivers and other telecom products in India.
Under the agreement, the business will be conducted through Dixon Electroconnect Pvt Ltd, which is currently a wholly-owned subsidiary of Dixon Technologies.
Upon completion of the transaction, Dixon Technologies will hold a 60 per cent stake in the JV entity, Dixon Electroconnect, while Gemtek will own the remaining 40 per cent.
Neither company will hold any direct equity stake in the other, the company said in a regulatory filing.
The joint venture firm will manufacture and supply Optical Transceiver – SFP n(Small Form-Factor Pluggable) and BOSA (Bidirectional Optical Subassembly), as well as other telecom products in India.
“The Proposed Transaction is expected to enable the company to enter the data centre, telecom and optical-connectivity ecosystem by combining the company’s large-scale manufacturing capabilities with Gemtek’s expertise in high-speed optical modules, telecom infrastructure and networking technologies,” the filing stated.
It added that the JV aims to address surging demand driven by artificial intelligence (AI), cloud and edge computing, hyperscale data centres, high-speed networking and next-generation optical communication solutions.
As part of the governance structure, the board of the JV company will have five directors. Dixon Technologies will hold the right to nominate three directors, including the Chairman, while Gemtek will nominate two directors.
The transaction is expected to be completed by February 3, 2027.
