Heritage Foods Limited has approved the amalgamation of its wholly owned subsidiary, Heritage Novandie Foods Limited, which makes yoghurt under the Livo brand, into the parent company.
The proposed merger will integrate the businesses and financial resources of the two companies and simplify the group structure by eliminating an additional legal entity and reducing duplication in statutory, regulatory and administrative requirements, the dairy company said in a statement on Friday.
The company said the integration would help coordinate Livo’s brand development and distribution with its dairy business.
“The proposed amalgamation is an important step in strengthening our value-added dairy platform, while simplifying the overall structure and enabling greater alignment across the business,” Brahmani Nara, Executive Director of Heritage Foods, said.
The move comes as value-added products (VAP) form a bigger part of the portfolio. Excluding ghee and butter, VAP contributed 35.4 per cent of dairy revenue in the second quarter of FY27, as against 31.3 per cent in the same quarter last year. In the first half, the share rose to 39.6 per cent from 33.7 per cent.
The company aims to raise this share to about 50 per cent over the next three years. It said a higher share of value-added products could reduce its dependence on liquid milk, which is more exposed to seasonal demand and commodity-linked fluctuations.
